Welcome to AISemantixSEO (“AISemantixSEO”, “we”, “us”, “our”). These Terms and Conditions (“Terms”) govern your use of aisemantixseo.com (the “Website”) and any SEO, GEO (Generative Engine Optimization), AEO (Answer Engine Optimization) and related consulting services we provide (the “Services”). By using the Website or engaging us for Services, you agree to these Terms. If you do not agree, please do not use the Website or the Services.
1. Who we are
AISemantixSEO is an independent search optimization consultancy operated by Bayazid Bostami from Dhaka, Bangladesh. You can contact us at bayazid@aisemantixseo.com.
2. Our Services
Depending on what you purchase, the Services may include SEO services, AEO, GEO, semantic SEO, schema markup implementation, content strategy and writing, analytics and tracking setup, audits, reports and ongoing SEO packages. The exact scope, deliverables, timeline and fees for each engagement are set out in a proposal, package description, invoice or written agreement (the “Scope of Work”). If these Terms conflict with a signed Scope of Work, the Scope of Work prevails for that engagement.
3. Free audit requests
We may offer a free audit of your website. A free audit is an introductory review provided for information only. It is not a full audit or a commitment to provide further Services, and we may limit its depth and scope. Submitting an audit request does not create a client relationship until a Scope of Work is agreed.
4. No guarantee of results
Search engines and AI platforms (including Google, Bing, ChatGPT, Gemini, Perplexity and similar systems) use proprietary and frequently changing algorithms that we do not control. We use professional skill and industry best practices, but we do not guarantee any specific ranking, traffic level, lead volume, revenue, featured snippet, AI citation or AI answer inclusion. Results depend on many factors outside our control, including competition, your website’s condition, your industry, your budget and changes made by search or AI platforms.
5. Client responsibilities
To deliver the Services, you agree to:
- provide accurate and complete information about your business and website;
- give timely access to the accounts and systems we need (for example CMS, Google Search Console, Google Analytics, Google Tag Manager, hosting or DNS), and keep ownership and administrator control of those accounts;
- review and approve deliverables within a reasonable time;
- ensure you have the right to use any content, images, data and trademarks you provide to us; and
- take backups before changes are made to your website, and not make conflicting changes to optimized pages without telling us.
Delays in providing information or access may delay delivery and results.
6. Fees and payment
- Fees are stated in the Scope of Work, package page, proposal or invoice and are quoted in [USD / currency to be confirmed].
- Unless agreed otherwise, one-off projects are invoiced [50% upfront and 50% on delivery], and monthly packages are invoiced in advance for each month.
- Invoices are due within [7] days of the invoice date. Work may be paused if payment is overdue.
- You are responsible for any taxes, bank charges, payment-platform fees and currency conversion costs, unless the Scope of Work says otherwise.
- Third-party costs (such as SEO tool subscriptions, paid links or sponsored placements, stock assets, or advertising spend) are not included unless stated and will be agreed with you in advance.
7. Refunds
[Edit to match your policy.] Because Services involve time, expertise and work already performed, fees are generally non-refundable once work has started. If you believe a deliverable does not meet the agreed Scope of Work, please contact us in writing within [14] days of delivery and we will work with you in good faith to correct it. Any refund for unperformed work is at our discretion or as stated in the Scope of Work.
8. Monthly packages, term and cancellation
Monthly packages renew each month until cancelled. You may cancel by giving at least [30] days’ written notice by email. Either party may terminate an engagement immediately by written notice if the other party materially breaches these Terms and fails to remedy the breach within [7] days of notice. On termination, you must pay for all Services performed and expenses incurred up to the termination date.
9. Intellectual property
- Your materials. You keep ownership of your website, brand, data and any materials you provide to us. You grant us a limited licence to use them only to perform the Services.
- Our deliverables. Upon full payment, you own the final custom deliverables created specifically for you (such as written content, reports and implemented schema markup), subject to the rest of this section.
- Our tools and methods. We retain ownership of our pre-existing and general know-how, methodologies, templates, frameworks, checklists, scripts and tools, and we grant you a non-exclusive licence to use them as part of the deliverables.
- Website content. The content, design, text, graphics and logo on this Website belong to AISemantixSEO and may not be copied, reproduced or republished without our written permission.
- Portfolio. Unless you ask us in writing not to, we may mention that you are a client and describe the general nature of the work. We will not publish confidential data or named results without your permission.
10. Confidentiality
Each party agrees to keep the other’s non-public business, technical and account information confidential, to use it only for the purposes of the engagement, and not to disclose it to anyone except those who need it to deliver the Services and are bound by similar obligations, or where required by law. This does not apply to information that is public, already known to the recipient, or independently developed.
11. Third-party tools and platforms
The Services may rely on third-party platforms and tools such as Google products, WordPress, SEO software, analytics services and AI tools. We are not responsible for their availability, changes, policies, pricing or errors. Your use of third-party services is governed by their own terms. Links on the Website to other websites are provided for convenience, and we are not responsible for their content or practices.
12. Use of AI tools
We may use AI-assisted tools in research, analysis and drafting. All deliverables are reviewed by a human specialist before delivery. You are responsible for reviewing content for accuracy, legal compliance and suitability for your business before publishing, particularly in regulated industries such as healthcare, legal and finance.
13. Compliance with search engine guidelines
We aim to use ethical, search-engine-guideline-compliant methods. We will not knowingly use practices that violate the published guidelines of major search engines. You acknowledge that algorithm updates or guideline changes may affect past or future performance, and that the content or practices already on your website before our engagement may carry existing risk.
14. Disclaimer of warranties
The Website and the Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Information on the Website is for general information only and is not legal, financial or professional advice for your specific situation.
15. Limitation of liability
To the fullest extent permitted by law, AISemantixSEO will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, traffic, rankings, goodwill or business opportunities, arising from or related to the Website or the Services, even if we have been advised of the possibility of such loss. Our total liability for any claim arising from the Services will not exceed the fees you paid to us for the Services in the [three (3)] months before the event giving rise to the claim.
16. Indemnification
You agree to indemnify and hold harmless AISemantixSEO from claims, damages, losses and expenses (including reasonable legal fees) arising out of: (a) content, data or instructions you provide; (b) your breach of these Terms; or (c) your violation of any law or third-party right.
17. Acceptable use of the Website
You agree not to use the Website to: break any law; attempt to gain unauthorized access to the Website or its systems; introduce malware; scrape or harvest data in an automated way without permission; submit false or misleading information through forms; or interfere with other users’ use of the Website.
18. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Website or submitting a form, you acknowledge that policy.
19. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including internet or power outages, platform outages, natural disasters, strikes, government actions or algorithm changes by third-party platforms.
20. Independent contractor
We provide the Services as an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and AISemantixSEO.
21. Governing law and disputes
These Terms are governed by the laws of the People’s Republic of Bangladesh. We encourage you to contact us first so we can try to resolve any dispute informally. If a dispute cannot be resolved informally within [30] days, it will be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh, unless the Scope of Work states otherwise or mandatory consumer law in your country provides otherwise.
22. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Continued use of the Website or Services after changes take effect means you accept the updated Terms. Changes will not affect a signed Scope of Work already in force.
23. General
- Entire agreement. These Terms and any Scope of Work are the entire agreement between you and us on their subject matter.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. Failing to enforce a right is not a waiver of that right.
- Assignment. You may not transfer your rights under these Terms without our written consent.
